1. Agreement to Terms

Welcome to PrayerConnect. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and the operator of PrayerConnect ("PrayerConnect," "we," "our," or "us") governing your access to and use of our web application, services, and related features.

By creating an account, accessing, or using PrayerConnect, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Description of Service

PrayerConnect is a prayer management platform designed for churches and faith-based organizations. Our services include:

• Prayer request submission and management
• Community prayer walls and sharing features
• Church member and team management
• Multi-location support for churches
• Customizable branding and appearance options
• Analytics and reporting tools
• Email notifications and communications

3. User Accounts and Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Types

Different account types have different permissions and responsibilities:

• Church Administrators: Full control over church settings, users, and content
• Moderators: Content moderation and prayer request management
• Members: Prayer request submission and community participation

3.3 Age Requirements

You must be at least 13 years old to use PrayerConnect. Users between 13 and 18 must have parental or guardian consent.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use PrayerConnect for legitimate church and faith-based community purposes, including sharing prayer requests, encouraging fellow members, and building community.

4.2 Prohibited Activities

You agree NOT to:

• Post content that is hateful, discriminatory, threatening, or harassing
• Share false, misleading, or fraudulent information
• Impersonate others or misrepresent your affiliation
• Spam, solicit, or send unsolicited commercial messages
• Upload malware, viruses, or other harmful code
• Attempt to gain unauthorized access to systems or accounts
• Interfere with or disrupt the service or servers
• Scrape, harvest, or collect user data without consent
• Use the service for any illegal purpose
• Violate any applicable laws or regulations
• Circumvent any access restrictions or security measures

5. Intellectual Property Rights

5.1 Our Intellectual Property

PrayerConnect and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws. Our trademarks, logos, and service marks may not be used without our prior written consent.

5.2 Your Content

You retain ownership of content you submit ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for operating and improving our services.

You represent that you have all necessary rights to grant this license and that your content does not infringe any third-party rights.

5.3 Church Branding

Churches retain full ownership of their logos, branding assets, and custom content uploaded to the platform.

6. Subscription and Payment Terms

6.1 Pricing Plans

We offer various subscription plans with different features and limits. Current pricing is available on our Pricing page.

6.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payment is processed securely through Stripe. You authorize us to charge your payment method for all fees incurred.

6.3 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. We offer a full refund if you request it within 30 days of your church's first purchase of a paid plan (monthly or annual). After that window, payments are non-refundable and no prorated refunds are provided; renewal charges, plan changes and re-subscriptions after cancelling are also non-refundable. Nothing in this section excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded.

6.4 Price Changes

We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

6.5 Lifetime Access Plans

Lifetime access plans provide access to PrayerConnect Enterprise features for the operational lifetime of PrayerConnect as a service. By purchasing a lifetime plan, you acknowledge and agree that:

• "Lifetime" refers to the operational lifetime of PrayerConnect as a business, not the lifetime of the purchaser or any individual.
• If PrayerConnect ceases trading, discontinues operations, or is acquired by another entity that chooses not to continue the service, the platform and your lifetime access will be terminated.
• In the event of planned service discontinuation, PrayerConnect will provide at least 60 days' written notice to lifetime subscribers and will offer a data export option.
• No refunds will be issued for lifetime access plans if the service is discontinued more than 12 months after your purchase date.
• Lifetime access does not guarantee any specific features, uptime, or service levels beyond those outlined in these Terms.
• PrayerConnect reserves the right to modify, update, or remove features from the platform as part of normal business operations.

7. Service Availability

We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service. We may temporarily suspend access for:

• Scheduled maintenance (with advance notice when possible)
• Emergency repairs or security updates
• Circumstances beyond our reasonable control

We are not liable for any losses resulting from service interruptions.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any guarantee, warranty, right or remedy that you have under the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or any other law that cannot lawfully be excluded. Where we are permitted to limit a remedy for a breach of a consumer guarantee, our liability is limited, at our option, to re-supplying the service or paying the cost of having the service re-supplied.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PRAYERCONNECT, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the service
• Any conduct or content of any third party on the service
• Any content obtained from the service
• Unauthorized access, use, or alteration of your transmissions or content

Subject to the Australian Consumer Law paragraph in Section 8, our total aggregate liability arising out of or in connection with these Terms shall not exceed the greater of (a) the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) AUD $100.

10. Indemnification

You agree to defend, indemnify, and hold harmless PrayerConnect and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

11. Termination

11.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us.

11.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for:

• Breach of these Terms
• Illegal or fraudulent activity
• Conduct harmful to other users or our business
• Extended periods of inactivity
• Non-payment of fees

11.3 Effect of Termination

Upon termination, your right to use the service ceases immediately. We may retain certain information as required by law or for legitimate business purposes.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, please contact us to attempt an informal resolution. Most concerns can be resolved quickly through direct communication.

12.2 Arbitration

If a dispute cannot be resolved informally within thirty (30) days, the parties agree to first refer the dispute to mediation administered by the Australian Disputes Centre in Sydney, New South Wales, Australia, conducted in English, with the parties sharing the mediator's costs equally. Mediation is not required before either party seeks urgent injunctive relief, and nothing in this Section prevents you from bringing a matter before a consumer tribunal or regulator.

12.3 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes on an individual basis rather than as part of a class or representative proceeding. This paragraph does not apply where it would be void or unenforceable under the law of your jurisdiction.

13. Governing Law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law provisions. You and we submit to the exclusive jurisdiction of the courts of New South Wales, Australia and the courts competent to hear appeals from them. If you are a consumer resident outside Australia, this clause does not deprive you of the protection of any mandatory consumer law of your place of residence.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use after changes constitutes acceptance of the modified Terms.

14a. Controller / Processor Relationship

With respect to Personal Data submitted through a church workspace, the church is the "Data Controller" and PrayerConnect is the "Data Processor". The church is responsible for obtaining any necessary consents from its members, guests, and staff, for the accuracy of the data it enters, and for responding to data-subject requests. PrayerConnect processes Personal Data only on the church's documented instructions, as further described in the Data Processing Agreement.

PrayerConnect acts as an independent Data Controller only for its own account, billing, security and product-telemetry records — never for prayer content or church member data.

14b. Record of Acceptance

When you create an account and when a church workspace is created, we record the date, time and version of these Terms, the Privacy Policy and the Data Processing Agreement that you accepted. The version in force for your workspace is the version accepted at that time until you accept a later version. The current version is 2026-09-29.

14c. Contacting Us

All notices, disputes, legal and privacy enquiries must be submitted through our contact form, which is our designated point of contact. We do not maintain public mailboxes; requests sent elsewhere may not be received.

14b. Church Responsibility for Content & Members

Church administrators are responsible for the content posted within their workspace by members, moderators, or guests, and for enforcing the Acceptable Use Policy inside their workspace. PrayerConnect acts as a neutral platform and does not pre-screen user-submitted prayer requests. We may remove content or suspend workspaces that violate our policies but have no obligation to monitor them.

14c. Minor-Age Rule

PrayerConnect accounts may not be created by anyone under 13 years of age (or under 16 in the European Economic Area and the United Kingdom) without verifiable parental or guardian consent obtained by the church. The church warrants that it has obtained any such consent before entering a minor's data into the service and will indemnify PrayerConnect for any claim arising from a failure to do so.

14d. Sub-processor Consent

To deliver the service we use the sub-processors listed on the Subprocessors page. By using PrayerConnect you provide general written authorization for their use. We will give at least 30 days notice of any material change to the sub-processor list.

14e. Breach Notification

PrayerConnect will notify the affected church administrator without undue delay, and in any event within 48 hours, after becoming aware of a Personal Data breach affecting their workspace, including the nature of the breach, likely consequences, and remediation steps.

14f. Limitation of Liability & Indemnification

To the maximum extent permitted by law, PrayerConnect's total aggregate liability arising out of or related to the service in any 12-month period is limited to the amount actually paid by the church to PrayerConnect in that period. PrayerConnect is not liable for indirect, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, or data.

The church agrees to indemnify and hold PrayerConnect harmless from any third-party claim arising from (i) content posted in the church's workspace, (ii) the church's collection, use, or sharing of member data in breach of applicable law, or (iii) the church's breach of these Terms or the Acceptable Use Policy.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the service.
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms; we may assign them to affiliates or successors.
